Terms of Service

These Terms of Service ("Terms") govern your access to and use of DriveIntel ("DriveIntel", "we", "us", or "our"), including our website, dashboard, and related services (the "Service"). By accessing or using the Service, you agree to these Terms.

1. Eligibility and Authority

You represent that:

  • You are at least 18 years old, or the age of majority where you live
  • You have the legal authority to accept these Terms
  • If you use the Service on behalf of an organization, you can bind that organization to these Terms

2. Accounts and Access

To use core features, you must sign in with a supported authentication provider (currently Google). You are responsible for:

  • Maintaining the security of your account
  • All activity under your account
  • Ensuring your use of the Service complies with applicable law

We may suspend or terminate access if we reasonably believe your account is compromised, used unlawfully, or violates these Terms.

3. Service Description

DriveIntel helps you analyze selected Google Drive documents for compliance against verifier/source-of-truth documents and generate reports.

The Service may be updated, changed, or discontinued (in whole or in part) at any time.

4. Google Drive Permissions

By connecting Google Drive, you authorize DriveIntel to access necessary Google Drive data to provide requested features, including listing folders, reading selected files, and generating compliance outputs.

You can revoke these permissions at any time in your Google account settings.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, fraudulent, or deceptive activity
  • Attempt unauthorized access to systems, data, or other users' accounts
  • Interfere with the Service's operation, security, or integrity
  • Reverse engineer, copy, resell, or exploit the Service beyond rights granted by law
  • Upload content you do not have rights to process

6. Your Data and Responsibility

You retain ownership of your content and documents. You grant us permission to process that data only as needed to operate the Service.

You are responsible for:

  • The legality, accuracy, and appropriateness of data you submit
  • Obtaining all required permissions and notices for the data you process
  • Reviewing compliance results before relying on them

7. AI Output Disclaimer

DriveIntel uses AI-assisted analysis. AI output may be incomplete, inaccurate, or unsuitable for your use case.

DriveIntel is a software tool and does not provide legal advice. You remain solely responsible for compliance decisions and actions.

8. Fees and Billing

Some features may be paid now or in the future. If fees apply, pricing and payment terms will be presented at the point of purchase.

Unless otherwise required by law or stated at purchase, fees are non-refundable.

9. Intellectual Property

The Service, including software, design, trademarks, and related materials, is owned by DriveIntel or its licensors and protected by applicable intellectual property laws.

Except as expressly permitted, you may not reproduce, modify, distribute, sell, or create derivative works from the Service.

10. Third-Party Services

The Service relies on third-party services (such as Google APIs and infrastructure providers). We are not responsible for third-party services, and your use of them may be subject to separate terms and policies.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIVEINTEL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIVEINTEL'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DRIVEINTEL FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD 100.

13. Indemnification

You agree to defend, indemnify, and hold harmless DriveIntel and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from your use of the Service, your content, or your violation of these Terms.

14. Termination

You may stop using the Service at any time.

We may suspend or terminate your access immediately if you violate these Terms, create risk to the Service or others, or if required by law.

Sections that by nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnity, and governing law.

15. Governing Law and Disputes

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Bangladesh, unless applicable law requires otherwise.

16. Changes to Terms

We may modify these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
